General Duties andResponsibilities

  • Creating, editing, amending and storing of correspondenceand documents in the appropriate electronic matter file, includingthe preparation of compared documents;
  • Responding to internal and external telephone enquiries,and ensuring that every call is attended to in a professional andpolite manner;
  • Photocopying, faxing andscanning of documents and correspondence;
  • Booking meetings and diary management;
  • Arranging the opening, closing and archiving of accountsand files to include KYC;
  • Organising chequerequests and collection;
  • Maintaining andupdating details of client contacts and addresses both within theLawyer's personal contact database and the Firm'sdatabase;
  • Familiarisation and compliance withthe Firm's house style;
  • Supportingother members of the secretarial team and work collaboratively withthem to complete work to a high standard and meet requireddeadlines
  • SpecificDuties and Responsibilities

  • Undertake offshore related legal secretarial workincluding the following duties :
  • Prepare firstdrafts of documents including initial and amended and restatedmemorandum and articles of association
  • Boardminutes and directors' resolutions; shareholderresolutions; powers of attorney; structured finance transactiondocumentation (including declarations of trust);
  • mutual funddocumentation; legal opinions.

  • Prepare closingbibles and arrange for these to be produced as and whennecessary.
  • Make all necessary filings with allinternal and external bodies in relation to, inter alia, specialresolutions, ordinary resolutions, amended and restated memorandumand articles of association, changes of directors andofficers.
  • Implement and maintain theLawyer's billing and collections system, including draftinginvoice narratives.
  • Participate in specialprojects as and when required in relation to the Firm's andthe Lawyer's practice areas.
  • Carry outany other duties commensurate with the purpose of the job,including the performance of duties outside normal workinghours.
  • Incorporations, Beneficial Ownership,Legalisation, CIMA Filings, SIBL Filings, Resolutions - sharetransfers, directors on / off etc
  • Opinions,Voluntary Liquidations, Strike Offs, Restorations
  • Education, Training andQualifications

  • Arecognised secretarial qualification or significant experienceworking as a secretary preferably in a legal or professionalservices firm.
  • A Bachelor's Degreefrom a recognised university or college; or an equivalentcombination of education and relevant experience.
