As Senior Manager- Legal & Company Secretary, he / she is responsible for providing accurate and timely legal counsel and responsibility for a wide range of corporate, commercial, financial services and legal matters and undertake the corporate administrative functions, listed below.

He / she will also act as the company secretary, preparing minutes for all Board and committee meetings and managing board and committee governance matters.

They will work closely with the executive and senior leadership teams, gaining exposure to business operations and strategy development, business planning and execution, and corporate governance issues Key Responsibilities :

  • Drafting and reviewing various types of contracts, agreements and document management like lease deeds, leave and license agreements, govt tenders and RFQs
  • Provide guidance on the legal implications of ISON’s strategy and execution and legal risks of business operations
  • Undertake the company secretarial and records management function
  • Liaison with counsels on litigation management
  • Where appropriate, manage litigation including insurance related claims, contractual disputes and employment issues, in conjunction with external advisers if required
  • Keep abreast of and inform management on relevant developments in software industry, such as court ruling or legislative amendments
  • MSME compliance, IT law and related applicable laws for the software industry
  • Legal risk management, advisory, documentation, dispute management strengthen the existing legal risk governance framework that integrates legal compliance with the business model
  • To review / improve / enhance internal policies / procedures / documentation in accordance with Legal and regulatory requirements on an ongoing basis in consultation with key stakeholders
  • Timely escalation to the reporting head, where necessary on significant legal risk items, and identifying remediation or mitigation measures for such legal risk items
  • Thorough knowledge of Labour laws, viz., Workmen Compensation Act, PF, ESI, Payment of Gratuity, Bonus, Sexual Harassment of Women at workplace (Prevention, Prohibition and Redressal ) etc Personal attributes
  • Commercial Orientation focused on understanding member needs and delivering solutions to directly or indirectly grow and retain members and Funds Under Management.
  • Acting with Honesty and Integrity being open, self-reflective and trusted by employees and members alike; role-modelling and championing a positive and collaborative culture.

  • Requirements : You will have :

  • Minimum of 8 years’ experience as a corporate or commercial lawyer in a major law firm and / or commercial in-house environment
  • Experience in IT Services or ITES industry (regulatory, transactional or prior experience) beneficial but not essential to performing this role
  • Company secretarial and legal contemporary knowledge in meeting procedures, creating and setting agendas and drafting minutes
  • Should have through knowledge of Legal Process in the Country under various Laws applicable for businesses. Africa experience is preferred.
  • Should have thorough knowledge of corporate and allied laws with specialization on Companies Act and Rules, Processes and Guidelines thereunder
  • LLB or LLM and qualified company secretary
  • Ability to build effective relationships with a variety of stakeholders both internally and externally
  • Strong commercial and business acumen
  • Strong communication skills
