Overall Purpose of the Job :
Expro are looking for a Contracts and Legal Advisor to provide an in-house service to Expro Production Systems (PS) product line team globally ensuring legal and ethical integrity in all forms of contracts and agreements.
Requires a focused individual with good commercial contracts experience who can provide day to day legal support, working closely with the business on a broad range of contract and commercial issues.
Key Activities and Accountabilities :
Work closely with PS manager, business development and project teams.
Review, revise and negotiate terms and conditions in : 1) ITT packages from prospective clients and 2) terms and conditions of Expro’s subcontractors and vendors, resulting in contracts and agreements compliant with Expro’s corporate risk parameters.
Negotiate, draft and review general commercial agreements including : alliance / partnering / joint venture agreements, research and development / marketing / IP licensing / manufacturing / supply agreements, agency agreements, confidentiality agreements and consultancy and service agreements as such agreements are required.
Liaise with internal Expro departments : tax, insurance, finance, supply chain, logistics, compliance as required to ensure thorough and complete review of terms and conditions.
Provide legal support at commercial / technical meetings with clients, partners and vendors to ensure the Expro position at such meetings is neither compromised nor exposed to undue risk and that discussions are facilitated to reach acceptable resolutions.
Advise on potential disputes and contractual problems and come up with solutions to benefit Expro. Ability to build relationship with clients, both internal and external, to discuss and resolve complex issues.
Liaise with external lawyers, as required, to ensure compliance with legal / governmental requirements.
Ability to draft clear contract terms and conditions.
Maintain accurate and up to date files on the Legal Department’s shared file drive.
Conducts contract awareness sessions with product line staff.
Develop standard forms of contracts and clauses for consistency of approach in PS team’s dealings with others.
Ability to travel for meetings, as may be required.
Actively adhere to the Code of Conduct and Anti-Bribery policies, procedures and processes to ensure the highest ethical standards are maintained and exposure to liability or risk to Expro’s reputation is minimised.
If necessary, report possible violations or conflicts of interest.
Actively adhere to and ensure compliance with applicable Quality policies, procedures, processes and systems. Take an active part in quality improvement processes.
Identify and report any deficiencies to supervisor and obtain authorisation for any deviations from standard procedures.
Actively comply with all applicable Health, Safety & Environmental (HSE) policies, procedures and processes. Promote HSE awareness;
take responsibility and be accountable for own safety and safety of others. Demonstrate the personal application of HSE procedures in daily performance and always follow the 10 Safety House Rules.
Ensure objectives set under Employee Development Plan are met.
Job Knowledge and Qualifications :
Legal qualification / degree
In-house experience in oil and gas industry
Some knowledge of EPC type contracts preferred
