Responsibilities :

  • Work with the FDD team to understand the key risk areas and valuedrivers of the target business in the context of an M&Atransaction.
  • Analyze the impact of risks andvalue drivers on deal pricing (headline price or other adjustments)and construct and EV to equity bridge accordingly.
  • Review the legal transaction documents from a financialand accounting perspective including the sale and purchaseagreement, shareholder agreement, disclosure letter, bid letteretc.
  • In particular advise the client on the appropriateness of thepricing mechanic (locked box vs. completion accounts), financialindemnities and warranties and accounting definitions andprinciples.

  • Analyze a normal level ofworking capital of the business.
  • Otherresponsibilities include : internal management of the project (riskassessment, budget and cost recoveries, documentation etc.
  • practice development (such as internal and external training),etc.

    Requirements :

  • CPA orCFA qualified or equivalent qualification
  • Relevant transaction services experience / exposure
  • Ability to work on multiple projects andprioritize tasks in fast paced environment.
  • Strong writing and communication skills
  • Strong interpersonal skills
  • Previous SPAadvisory experience is preferred but notrequired
